Terms of Service

Effective October 25, 2026

These Terms of Service (the "Terms") are an agreement between Pythagorithm, Inc., a Delaware corporation ("Pythagorithm," "we," "us," or "our"), and the organization that accesses or uses the pixelops™ service (the "Customer" or "you"). They govern the pixelops application at app.pixelops.ai and related services (the "Service") and the website at www.pixelops.ai (the "Site"). By signing an order form that references these Terms, clicking to accept them, or using the Service, you agree to them. If you accept on behalf of an organization, you represent that you have authority to bind it.

Section 15 requires disputes to be resolved by binding individual arbitration and waives class actions and jury trials. Please read it.

1. The Service

pixelops is a workspace for preparing responses to government and commercial solicitations. Pixel, its AI assistant, reads solicitation documents, searches your company library, checks public market data, drafts and assembles responses, and supports review and submission. The Service is offered to businesses only. You may not use it as a consumer.

If an order form, statement of work, or other signed agreement between you and Pythagorithm (an "Order") conflicts with these Terms, the Order controls for that conflict.

2. Accounts and users

You may permit your employees and contractors ("Users") to use the Service under your account. You are responsible for your Users, for their compliance with these Terms, for the access levels you assign them, and for all activity under your account. Keep sign-in credentials confidential and tell us promptly at legal@pythagorithm.ai about any unauthorized use. Accounts are by invitation; we may refuse or remove access that we reasonably believe violates these Terms.

3. Your content

Ownership. As between you and Pythagorithm, you own the files, text, and information you and your Users submit to the Service ("Customer Content"). To the extent the law allows, you also own the drafts, documents, figures, and other material the Service produces for you from Customer Content ("Output"). Output may not be protected by copyright, and similar Output may be produced for others.

License to us. You grant Pythagorithm a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, and modify Customer Content and Output as needed to provide, secure, and support the Service, to comply with law, and as you otherwise direct. This includes sending Customer Content to our service providers, including the AI models we use through Amazon Bedrock.

No training. We do not use Customer Content or Output to train AI models.

Your responsibilities. You represent that you have all rights, consents, and notices needed to submit Customer Content and to let us process it, including content about your staff, partners, and teaming members, and that doing so does not violate any law, contract, or third-party right.

Prohibited data. The Service is not designed or authorized for classified information, Controlled Unclassified Information (CUI), information subject to the International Traffic in Arms Regulations or the Export Administration Regulations, protected health information, payment card data, or any information whose handling requires a government security authorization. You will not submit such information. If you do, you are solely responsible, and we have no obligations regarding it.

4. AI output and your submissions

The Service uses artificial intelligence. AI output can be inaccurate, incomplete, out of date, or inconsistent with a solicitation's requirements, even when it appears confident, and checks performed by the Service do not guarantee compliance. You are solely responsible for reviewing, verifying, and approving all Output before you use it, and for everything you submit to any government agency or other buyer, including every statement of fact, representation, certification, price, and signature. Pythagorithm does not provide legal, accounting, contracting, or procurement advice, and is not a party to any solicitation, proposal, award, teaming agreement, or contract between you and anyone else. We do not guarantee that any proposal will be compliant, competitive, accepted, or awarded.

You are responsible for complying with the laws and rules that apply to your proposals and contracts, including procurement integrity rules, the Federal Acquisition Regulation and agency supplements, organizational conflict of interest rules, and any restrictions on the use of AI that a solicitation imposes.

Signatures collected through the Service's online signing feature are made between you and your signers. You are responsible for whether an electronic signature is acceptable for your purpose.

5. Acceptable use

You will not, and will not permit anyone to:

  • use the Service in violation of law or third-party rights, or to submit false or misleading information to any government agency;
  • upload malicious code, or probe, scan, or test the Service's vulnerability, or circumvent its security, access controls, or usage limits;
  • access another customer's data, or use the Service to read websites or systems you are not authorized to access;
  • copy, modify, reverse engineer, decompile, or attempt to extract the source code, models, prompts, or underlying components of the Service, except as the law expressly permits despite this restriction;
  • use the Service or its Output to build, train, or improve a competing product or AI model;
  • resell, sublicense, or provide the Service to third parties, or use it as a service bureau, except as an Order allows;
  • use the Service in a way that violates the acceptable use policies of our AI and cloud providers, which we will provide on request; or
  • use the Service to make automated decisions with legal or similarly significant effects on individuals without human review.

We may monitor use of the Service for security and compliance with these Terms, and may remove content or suspend access that we reasonably believe violates them.

6. Our property

Pythagorithm and its licensors own the Service, the Site, and all related software, models, prompts, designs, documentation, and improvements, and all intellectual property rights in them. These Terms grant you only a limited, non-exclusive, non-transferable right to access and use the Service during your subscription for your internal business purposes. All rights not expressly granted are reserved. pixelops™ and Pixel™ are trademarks of Pythagorithm, Inc.

Feedback. If you give us suggestions or feedback, we may use them without restriction or obligation to you.

Usage data. We may collect and use data about how the Service is used, and aggregated or de-identified data derived from Customer Content that does not identify you, any User, or any individual, to operate, secure, and improve our products, during and after the term.

7. Third-party services

The Service works with third-party services, such as public government data sources, sign-in providers, email delivery, and cloud hosting. We do not control them and are not responsible for their availability, accuracy, or acts. Public data the Service reads, such as SAM.gov and USAspending.gov records, is provided as the source publishes it.

8. Fees and payment

Plans bought online. When you subscribe on our website, you choose a plan and a monthly or annual billing period, and you authorize us, through our payment processor, Stripe, to charge your payment method the plan's fees, plus applicable taxes, at the start of each billing period. A subscription renews automatically for the same period until you cancel it. You may cancel at any time; cancellation takes effect at the end of the billing period you have paid for, and your access continues until then. Each plan's allowances (such as people, responses, and bid briefs) are those stated for the plan when you subscribe or renew. A response counts against an allowance as the plan states: each response once, when the Service starts planning it, and again each time it is built again from scratch. Use beyond an allowance is billed at the stated rate for extra use or requires a larger plan. We may change a plan's prices or allowances for future billing periods by giving you notice at least 30 days before the change applies to you.

Plans under an Order. You will pay the fees in your Order. Unless an Order says otherwise, fees are invoiced in advance and are due within 30 days of the invoice date.

For every plan. Fees are non-cancelable and non-refundable, including for unused time, allowances, or features, except where the law requires otherwise. Fees exclude taxes, which you will pay, other than taxes on our net income. Late amounts accrue interest at the lesser of 1.5 percent per month or the highest rate the law allows, and we may suspend the Service for any amount more than 15 days past due after notice. We may change fees for a renewal term by giving notice at least 30 days before it begins.

9. Term, suspension, and termination

These Terms apply while you use the Service. A subscription bought online runs and renews as Section 8 describes. A subscription under an Order runs for the term in the Order and renews for successive terms of the same length unless either party gives notice of non-renewal at least 30 days before the current term ends.

We may suspend access immediately if we reasonably believe your use threatens the security, integrity, or availability of the Service or others' data, violates these Terms or the law, or exposes us to liability. We will restore access when the issue is resolved.

Either party may terminate for the other's material breach that remains uncured 30 days after written notice. We may terminate immediately for a breach of Section 3 (Prohibited data) or Section 5. On termination, your right to use the Service ends, and you will pay all fees owed through the end of the current billing period or term. For 30 days after termination you may export your Customer Content, after which we will delete it as our Privacy Notice describes. Sections 3, 4, and 6 through 17 survive termination.

10. Confidentiality

Each party will protect the other's non-public information that is marked or reasonably understood to be confidential, using reasonable care, and use it only to perform under these Terms. Customer Content is your confidential information. This does not apply to information that is or becomes public through no fault of the receiving party, was known to it or independently developed without use of the confidential information, or is rightfully received from a third party. A party may disclose confidential information when required by law, after giving reasonable notice where the law allows.

11. Security and privacy

We maintain administrative, technical, and physical safeguards designed to protect Customer Content, as described in our Privacy Notice. Our handling of personal information is described there. If the law requires a data processing agreement, the terms we make available on request apply.

12. Disclaimers

THE SERVICE, THE SITE, AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, PYTHAGORITHM AND ITS LICENSORS AND SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT OUTPUT WILL BE ACCURATE, COMPLETE, OR COMPLIANT WITH ANY SOLICITATION OR LAW, OR THAT USE OF THE SERVICE WILL RESULT IN ANY AWARD OR BUSINESS OUTCOME. FEATURES MARKED AS BETA, PREVIEW, OR EARLY ACCESS ARE PROVIDED WITHOUT ANY COMMITMENT AND MAY CHANGE OR BE WITHDRAWN.

13. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS: (A) PYTHAGORITHM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, CONTRACTS, AWARDS, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, OR THE COST OF SUBSTITUTE SERVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (B) PYTHAGORITHM'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO PYTHAGORITHM FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS IF YOU PAID NOTHING. THESE LIMITS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND ARE AN ESSENTIAL BASIS OF THE BARGAIN.

14. Indemnification

You will defend, indemnify, and hold harmless Pythagorithm and its affiliates, officers, directors, employees, and agents from and against all claims, losses, liabilities, damages, fines, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to (a) Customer Content, (b) your or your Users' use of the Service or Output, including any proposal, bid, representation, certification, price, or submission, (c) your breach of these Terms or violation of law, or (d) any dispute between you and a government agency, buyer, partner, or other third party. We will give you notice of a claim and reasonable cooperation at your expense, and may participate with counsel of our choice.

15. Dispute resolution: binding arbitration

Informal resolution. Before filing a claim, a party will send the other written notice describing the dispute, and the parties will try in good faith to resolve it for 30 days.

Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or the Site, including their formation, scope, and enforceability, will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator. The arbitration will take place in Wilmington, Delaware, or by video conference if the parties agree. Judgment on the award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs this Section.

Class action and jury waiver. Claims may be brought only on an individual basis, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims or award relief to anyone but the individual party. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL.

Exceptions. Either party may bring an individual claim in small claims court, and either party may seek temporary or preliminary injunctive relief in a court to protect its intellectual property or confidential information pending arbitration. For those matters, the parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

Time limit. Any claim must be brought within one year after it arises, or it is permanently barred, to the extent the law allows.

16. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

17. General

  • Government users. The Service and its documentation are commercial products and commercial computer software developed at private expense. If a U.S. government entity acquires or uses them, its rights are only those granted in these Terms, consistent with FAR 12.211, FAR 12.212, and DFARS 227.7202.
  • Export. You will comply with U.S. export control and sanctions laws and will not use the Service in, or provide access to, any embargoed country or restricted party.
  • Customer name and logo. You grant Pythagorithm a non-exclusive, royalty-free right to use your name and logo to identify you as a customer in our marketing materials, in customer lists, and on our websites. This use does not mean that you endorse pixelops or Pythagorithm. You may ask us in writing, at legal@pythagorithm.ai, to stop future use, and we will stop within a reasonable time; materials already published or distributed need not be withdrawn.
  • Changes. We may update these Terms by posting the updated version with a new effective date. If a change is material, we will give notice through the Site or the Service or by email at least 15 days before it takes effect, except for changes required by law or made for security reasons, which take effect immediately. Continued use after the effective date means you accept the updated Terms. Changes do not alter a signed Order during its current term.
  • Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets.
  • Force majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, other than your obligation to pay fees.
  • Notices. We may give notices through the Service or to the email address associated with your account. Legal notices to Pythagorithm go to legal@pythagorithm.ai.
  • Entire agreement. These Terms, any Order, and the documents they reference are the entire agreement between the parties about the Service and supersede prior agreements on that subject. Terms in any purchase order or other document you provide do not apply.
  • Other terms. If any provision is held unenforceable, it will be enforced to the maximum extent permissible and the rest remains in effect. A failure to enforce a provision is not a waiver. The parties are independent contractors. There are no third-party beneficiaries.
